Welcome to DEVFORGELLC. These Terms and Conditions ("Terms") govern your access to and use of our website, services, and any related applications (collectively, the "Services"). By using our Services, you agree to be bound by these Terms. If you do not agree, please do not use our Services.

1. Acceptance of Terms

These Terms constitute a legally binding agreement between you ("Client," "you," or "your") and DEVFORGELLC ("Company," "we," "us," or "our"). By accessing our website, submitting an inquiry, or engaging our services, you represent that you have the legal capacity to accept these Terms and will comply with all applicable laws.

2. Scope of Services

DEVFORGELLC provides digital agency services including but not limited to: web development, content marketing, UI/UX design, search engine optimization (SEO), social media marketing, and affiliate marketing. Specific deliverables, timelines, milestones, and fees will be defined in separate Service Agreements, Statements of Work (SOW), or Proposals that are incorporated by reference into these Terms. In the event of a conflict, the signed Service Agreement shall control.

3. Fees, Invoicing & Payment

All fees are quoted in USD unless otherwise specified. Payment terms are outlined in your proposal or invoice, typically requiring a deposit (e.g., 50%) prior to project commencement, with the balance due upon completion or according to milestone billing. Late payments may incur interest at 1.5% per month or the maximum legal rate. Clients are responsible for all collection costs, including attorney fees. Services may be suspended for non-payment until outstanding balances are settled.

4. Intellectual Property Rights

Ownership of Deliverables: Upon full and final payment, all custom-coded solutions, design assets, and original content specifically created for the Client shall become the Client's property. DEVFORGELLC retains ownership of any pre-existing tools, frameworks, libraries, or proprietary code. Portfolio Rights: DEVFORGELLC reserves the right to display completed work in our portfolio, case studies, and marketing materials unless a non-disclosure agreement explicitly prohibits such use. Third-party licenses (fonts, stock images, plugins) are subject to their respective terms.

5. Client Obligations & Cooperation

Client agrees to provide timely access to necessary information, materials, feedback, and approvals as reasonably requested. Any delays caused by Client unresponsiveness may extend project timelines, and DEVFORGELLC shall not be liable for such delays. Client warrants that all content provided (text, images, data) does not infringe upon third-party rights and complies with applicable laws.

6. Limitation of Liability & Disclaimer

TO THE MAXIMUM EXTENT PERMITTED BY LAW, DEVFORGELLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, DATA LOSS, OR BUSINESS INTERRUPTION. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM THESE TERMS OR OUR SERVICES SHALL NOT EXCEED THE TOTAL FEES PAID BY YOU TO DEVFORGELLC IN THE SIX (6) MONTHS PRIOR TO THE EVENT GIVING RISE TO THE CLAIM. SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE, EXCEPT AS EXPRESSLY STATED IN A SERVICE AGREEMENT.

7. Prohibited Conduct

You agree not to: (a) use our Services for any illegal purpose; (b) upload malicious code, viruses, or harmful content; (c) attempt to gain unauthorized access to our systems; (d) interfere with the security or integrity of our Services; (e) reverse engineer any of our software or proprietary technology; or (f) use our Services to harass, abuse, or harm others.

8. Termination & Suspension

Either party may terminate a Service Agreement with written notice if the other party materially breaches these Terms and fails to cure within fifteen (15) days. DEVFORGELLC may suspend access to Services immediately for non-payment or violation of prohibited conduct. Upon termination, Client shall pay all fees for work completed up to the termination date.

9. Indemnification

You agree to indemnify, defend, and hold harmless DEVFORGELLC and its officers, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorney fees) arising from your breach of these Terms, your use of our Services, or your violation of any third-party rights.

10. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Colorado, without regard to conflict of law principles. Any dispute arising from these Terms shall be resolved through binding arbitration in Denver, Colorado, in accordance with the rules of the American Arbitration Association. Each party shall bear its own arbitration costs, unless the arbitrator determines otherwise.

11. Modifications to Terms

We reserve the right to update or modify these Terms at any time. Material changes will be notified via email or website notice. Your continued use of our Services after the effective date constitutes acceptance of the revised Terms.
